Benoit's right, actually; a first-person shooter differs from a shoot 'em up, in the same sense that a fighting game differs from a beat 'em all. In the case of a first-person shooter, as Benoit already mentioned, you are playing the game while looking through the eyes of the character--seeing exactly what he or she would see (hence the term 'first-person'), whereas, in the case of a shoot 'em up, you are taking control of the ship or the character in third-person perspective; looking across to, or down upon who or what you're controlling. Now, in the case of a fighting game, you're taking control of a character of your choice--from a selection of multiple characters, and putting him or her up against others, one-by-one, in a 'tournament-style' setting, whereas, in the case of a beat 'em all, you, generally, only get to choose out of a very limited number of characters--who you then take through different stages, beating/hacking up everything in your path, in third-person perspective. Here are some exmaples to help give you a better understanding of the genres...
First-Person Shooter - Doom, Heretic, Medal of Honor, Halo
Shoot 'em Up - Rez, R-type, Vapor Trail, Ikaruga
and then...
Fighting - Street Fighter, Tekken, Dead Or Alive, Mortal Kombat
Beat 'em All - Streets Of Rage, Fighting Force, Golden Axe, Ninja Gaiden(Genesis version)
